Wholesale Terms and Conditions


1. Warranty of Conformity

1.1 The Seller warrants that on the date of delivery, the Goods shall:

  • (a) Conform in all material respects with the description and any applicable Specification or Sample provided by the Seller;

  • (b) Be free from material defects in design, material, and workmanship; and

  • (c) Be of satisfactory quality (within the meaning of the Sale of Goods Act 1979 or relevant local commercial code).

1.2 The Buyer acknowledges that minor, technically unavoidable deviations in colour, weight, or finish (within a tolerance of +/- 5%) do not constitute a lack of conformity.

2. Inspection and Notification of Defects

2.1 The Buyer shall inspect the Goods immediately upon receipt.

2.2 Obvious Defects: Any claim regarding damage, shortages, or non-conformity visible upon reasonable inspection must be notified to the Seller in writing within 3 calendar days of delivery. 2.3 Hidden Defects: Any defects not discoverable by reasonable inspection must be reported within 7 business days of discovery, and in any event no later than 6 months from the date of delivery. 2.4 Failure to notify the Seller within these timeframes shall be deemed an unconditional acceptance of the Goods.

3. Remedies for Non-Conformity

3.1 If the Goods do not comply with the warranty in Clause 1, the Seller shall, at its sole discretion:

  • (a) Repair the non-conforming Goods;

  • (b) Replace the Goods with conforming stock; or

  • (c) Issue a credit note or refund for the price of the non-conforming Goods. 3.2 The Seller’s liability is strictly limited to the cost of the Goods. The Seller shall not be liable for the Buyer’s loss of profit or any consequential losses arising from non-conformity.

4. Exclusions

4.1 The Seller shall not be liable for a lack of conformity if:

  • (a) The Buyer makes further use of the Goods after giving notice of a defect;

  • (b) The defect arises from normal wear and tear, willful damage, or negligence;

  • (c) The defect arises from failure to follow the Seller’s care instructions (e.g., washing, ironing, or storage).

5. Payment Terms and Billing

5.1 Pricing and Currency

All prices are quoted in GBP unless shown otherwise and are exclusive of Value Added Tax (VAT), sales tax, duties, and shipping costs, unless otherwise stated in writing. Prices are subject to change; however, prices for confirmed orders are guaranteed.

5.2 Payment Schedule

To balance production costs with retail delivery, the following payment structure applies:

  • Deposit: A non-refundable deposit of 50% is required to initiate the order.

  • Balance: The remaining balance, including shipping fees and taxes, must be paid in full within 30 days of the invoice date, subject to approved credit limits.

5.3 Methods of Payment

Payments must be made via Bank Wire.

  • Banking Fees: The Buyer is responsible for all intermediary bank fees associated with international transfers.

Credit card payments will be available to returning customers upon request.

5.4 Late Payments

Timely payment is a condition of continued supply. If payment is not received by the due date:

  • Interest will accrue on the outstanding balance at a rate of 1.5% per month.

  • The Seller reserves the right to suspend or cancel pending shipments for any account with an overdue balance.

  • The Buyer shall be liable for all costs incurred by the Seller in the collection of overdue payments, including legal fees.


JURISDICTION AND APPLICABLE LAW

The British courts will have non-exclusive jurisdiction over any claim arising from, or related to, a visit to our site.

These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

 

VARIATIONS

We may revise these terms of use at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these terms of use may also be superseded by provisions or notices published elsewhere on our site.
